Terms of Service

These terms govern access to and use of the Ambsonic website, applications, and services provided by Ambsonic OÜ. By accessing or using Ambsonic, you agree to these terms. If you enter into a separate written agreement with Ambsonic, that agreement controls to the extent of any conflict.
Business use and eligibility
Ambsonic is intended for lawful business and professional use. You may use the service only if you have authority to act on behalf of the organization or venue using the account.
Accounts and security
You are responsible for keeping account credentials confidential, limiting access to authorised personnel, and promptly notifying us if you believe an account has been compromised. You are responsible for activity that occurs through your account except to the extent caused by our own breach of these terms or applicable law.
Trials, subscriptions, billing, and cancellation
Trial availability, plan features, pricing, billing intervals, taxes, and payment terms are presented during signup, checkout, or in a written order form. Unless your plan or a written order form says otherwise, each subscription covers one venue (a single physical location) and one active playback device at a time. Unless stated otherwise, paid subscriptions renew automatically at the end of each billing period until cancelled. If you cancel, the cancellation applies to the next renewal unless your plan or written agreement states otherwise. If you switch plans, the change is prorated automatically where the checkout indicates this; otherwise the current plan remains active until the end of its paid billing period and the new plan starts then. Fees already paid are not refunded, except where mandatory law provides otherwise. We may suspend or restrict access for overdue amounts after reasonable notice where appropriate.
Music license
Subject to these terms and payment of the applicable fees, Ambsonic grants you a limited, non-exclusive, non-transferable, non-sublicensable license to play tracks from the Ambsonic catalog, through the service, as ambient background music within the venue premises covered by your subscription, for your guests, customers, and staff, for the duration of your active subscription.
This license does not cover: (a) transmitting or streaming the music beyond your venue premises, including online; (b) events where admission is charged for the music itself; (c) synchronizing tracks with video, advertising, or other produced content; (d) downloading, extracting, copying, distributing, or reselling tracks; or (e) karaoke or performance uses. The catalog and rights
The Ambsonic catalog consists of original recordings created for Ambsonic, including music produced with the assistance of AI music-generation tools used under commercial-use licenses, and reviewed, selected, edited, and mastered by our team. To the fullest extent that copyright and related rights subsist in the catalog, those rights are owned or controlled by Ambsonic. The catalog does not include works administered by any performing-rights organization or collective management organization. Your right to play the music arises from these terms and does not depend on any copyright registration. Tracks are licensed on a non-exclusive basis, and we may add, replace, or remove tracks from the catalog at any time.
Track changes and third-party claims
If a third party asserts a claim relating to a specific track, we may remove or replace that track without notice. If you receive a claim or enquiry from a collecting society or rights holder relating to music played through Ambsonic, notify us promptly; we will provide documentation about the catalog and reasonable cooperation to help you respond.
Acceptable use
You may not misuse the service, interfere with platform operations, attempt unauthorised access, reverse engineer the service except where the law clearly permits it, use Ambsonic to violate applicable laws or third-party rights, or bypass technical or account limits that apply to your plan.
Customer responsibilities
You are responsible for the accuracy of information you provide, your internal use of the service, the lawfulness of any data you submit, and ensuring that your venue operations comply with laws and market-specific requirements that apply to your business. You remain responsible for obligations arising from music sources other than Ambsonic (for example radio, TV audio, consumer streaming apps, DJs, or live music) and for local reporting or registration duties that apply to your venue regardless of repertoire. Intellectual property
Ambsonic and its related software, branding, site content, and service materials remain the property of Ambsonic or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription term in line with your plan and documentation.
Availability, changes, and third-party providers
We aim to keep the service available and reliable, but uninterrupted or error-free operation is not guaranteed unless explicitly stated in a separate agreement. We may modify features, interfaces, or providers from time to time as part of maintaining and improving the service.
Suspension and termination
We may suspend or terminate access if you materially breach these terms, fail to pay amounts due, create security risk, or use the service in a way that could harm Ambsonic, other customers, or third parties. You may stop using the service at any time and may cancel according to your billing terms.
Disclaimers
To the fullest extent permitted by law, the service is provided on an "as is" and "as available" basis, and we disclaim warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Ambsonic is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from or related to use of the service. To the fullest extent permitted by law, Ambsonic's total aggregate liability arising out of or relating to the service is limited to the amounts you paid to Ambsonic for the service in the twelve months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under applicable law.
Governing law and disputes
These terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. Disputes that cannot be resolved amicably will be settled in the courts of Estonia, with Tartu County Court as the court of first instance, except where mandatory applicable law provides otherwise.
Changes to these terms
We may update these terms from time to time. When we do, we will post the updated version on this page and update the "Last updated" date. If a change materially reduces your rights, we will make reasonable efforts to notify account holders by email in advance. Continued use of Ambsonic after an updated version becomes effective means you accept the revised terms.
